Acceptance of the Terms of Use

These Terms of Use are an agreement between you and trustedprocontractors.com, operated as Trusted Pro Contractors (the "Company," "we," "us," or "our"). They govern access to and use of trustedprocontractors.com, including the content, features, accounts, forms, and services offered through it (the "Website"), whether you visit as a guest or use a registered account.

User Contributions

User Contributions must satisfy the Content Standards below. Content submitted for posting is treated as non-confidential and non-proprietary. By providing a User Contribution, you grant the Company, its affiliates, service providers, licensees, successors, and assigns a worldwide, non-exclusive, royalty-free right to host, reproduce, modify, format, perform, display, distribute, and otherwise use or disclose that material as reasonably connected with operating, promoting, and providing the Website, subject to applicable account settings and law.

You represent and warrant that you own or control the necessary rights in each User Contribution, can grant this license, and that your contributions comply with these Terms.

You are responsible for every User Contribution you submit, including its legality, reliability, accuracy, and appropriateness. We are not responsible to you or a third party for the content or accuracy of material posted by users.

Monitoring and Enforcement; Termination

We may:

• Remove or refuse a User Contribution at our discretion.

• Take action concerning content we consider unlawful, misleading, unsafe, inappropriate, infringing, or contrary to these Terms or the Content Standards.

• Disclose identity or other information when a third party alleges that posted material violates intellectual-property, privacy, or other rights, as permitted or required by law.

• Refer suspected illegal or unauthorized activity to law enforcement or take other legal action.

• Suspend or terminate access to all or part of the Website, including for a violation of these Terms.

We may cooperate with law-enforcement authorities and comply with a court order requesting or directing disclosure of the identity or information of a person who posts material through the Website.

To the extent permitted by law, you release and hold harmless the Company and its affiliates, licensees, and service providers from claims arising from actions they take during, or as a consequence of, investigations by those parties or law-enforcement authorities.

We do not promise to review all material before publication or to remove objectionable content immediately. We are not responsible for action or inaction concerning user or third-party transmissions, communications, or content.

These standards apply to every User Contribution and use of Interactive Services. Content must comply with applicable federal, state, local, and international law and must not:

• Violate privacy, publicity, or other legal rights, create unlawful civil or criminal liability, or conflict with these Terms or our Privacy Policy.

• Be materially deceptive.

• Promote illegal activity or encourage or assist an unlawful act.

• Intentionally cause needless alarm, embarrassment, harassment, or serious inconvenience.

• Impersonate a person or misrepresent identity or affiliation.

• Involve unauthorized contests, sweepstakes, promotions, barter, sales, or advertising.

• Falsely suggest that content comes from or is endorsed by the Company or another person or entity.

Reliance on Information Posted

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, agents, suppliers, successors, and assigns from claims, liabilities, damages, judgments, awards, losses, costs, expenses, and reasonable attorneys' fees arising from your violation of these Terms or misuse of the Website.

This obligation includes claims connected with User Contributions, unauthorized use of Website content, services, or products, and misuse of information obtained through the Website.

Governing Law and Jurisdiction

Wyoming law governs all matters relating to the Website and these Terms, including non-contractual disputes, without applying rules that would select another jurisdiction's law.

Unless applicable law requires otherwise, a lawsuit concerning the Website or these Terms must be brought in the federal courts of the United States or the state courts located in Wyoming. We may bring an action against you in your country of residence or another relevant jurisdiction when appropriate. You waive objections to jurisdiction and venue in the designated courts to the extent legally permitted.

Arbitration

At the Company's election and where legally enforceable, a dispute arising from the Website or these Terms—including a dispute about interpretation, breach, validity, performance, or termination—may be submitted to final and binding arbitration under the applicable rules of the American Arbitration Association, applying Wyoming law.

Limitation on Time to File Claims

TO THE EXTENT PERMITTED BY LAW, A CLAIM OR CAUSE OF ACTION ARISING FROM OR RELATING TO THE WEBSITE OR THESE TERMS MUST BE FILED WITHIN ONE YEAR AFTER IT ACCRUES. A CLAIM FILED AFTER THAT PERIOD IS PERMANENTLY BARRED.

Waiver and Severability

A waiver of one term or condition is not a continuing waiver and does not waive another term. A failure to enforce a right or provision is not a waiver of that right or provision.

If a court or other tribunal finds a provision invalid, illegal, or unenforceable, the provision will be removed or limited only as much as necessary, and the remaining Terms will continue in effect.

Entire Agreement

These Terms and the Privacy Policy form the complete agreement between you and Trusted Pro Contractors concerning the Website. They replace prior and contemporaneous written and oral understandings, agreements, representations, and warranties concerning the Website.
